Jason Crain is a Partner at VLP with a focus on representing emerging growth companies, entrepreneurs, and investors in the areas of corporate, commercial contracts, employment and equity compensation, capital raising, and M&A. Jason represents companies from formation to exit. This includes the representation of private companies in hundreds of financing transactions, including early-stage convertible debt financings, SAFEs and bridge loans as well as angel and venture capital led preferred stock financing rounds. Jason also represents companies in M&A transactions, including mergers and asset sales. In addition to company representation, Jason has represented angel and venture capital investors in financing matters.

Prior to joining VLP, Jason spent several years in the emerging companies practice groups at Perkins Coie, Orrick, and Venture Law Group and served as General Counsel and Chief Financial Officer of Say Media, Inc., an international adtech and content company, and Dharma Platform, Inc., an international SaaS company. Jason also served in the U.S. Navy as a nuclear-trained submarine officer and Jag.

From his many years serving as General Counsel and as outside counsel at large law firms, Jason brings a practical perspective to his clients that combines the strategic with the tactical to provide his clients with day-to-day legal counsel and guidance through the largest transactions.
