Counsel Descriptions

Corporate Counsel candidates should have exceptional academic credentials, a top-tier law firm background and at least six years of substantial experience representing (i) private technology or life sciences companies from formation to exit (including with respect to founder issuances, equity compensation and stock plans, convertible debt, SAFE and equity financings, and M&A), and (ii) VC funds and other investors that finance such companies. Corporate Counsel must be able to work independently with limited supervision.

Commercial Lending Counsel candidates should have at least five years of experience (three years in commercial lending) to join VLP’s Commercial Lending, Structured Finance and Venture Debt practice group. The ideal candidate will have exceptional academic credentials, a law firm background and substantial experience with commercial lending transactions. Specific experience representing lenders or borrowers in tech lending or life science transactions is particularly desirable.

Tech Trans Counsel candidates should have exceptional academic credentials, a top-tier law firm background, and at least six years of substantial experience in counseling companies with respect to technology and commercial transactions and drafting and negotiating associated agreements.  Specific experience with data privacy and security is particularly desirable.  Counsel must be able to work independently with limited supervision as well as in collaboration with other attorneys.

Patent Counsel supporting our clients in the biotechnology, chemical, pharmaceutical, and related industries must have exceptional academic credentials, a top-tier law firm background, be licensed to practice before the US Patent and Trademark Office, and have six or more years experience prosecuting patents in the United States and abroad. Counsel must have at minimum an undergraduate degree in biochemistry, chemistry, chemical engineering, or physics.  Specific experience with organic and/or polymer chemistry, biochemistry, genomics, bioinformatics, pharmaceuticals, drug delivery, diagnostics, or medical devices would be a plus.  You must be able to demonstrate an ability to work independently with limited supervision as well as in collaboration with other attorneys.

Patent Counsel supporting our clients in software and electronics-related industries must have exceptional academic credentials, a top-tier law firm background, and six or more years experience prosecuting patents in the United States and abroad.  You should at minimum have an undergraduate degree in: computer software, electrical engineering or physics. Specific experience counseling entrepreneurs, corporations, research institutions, and / or universities would be a plus. You should be admitted to practice before the U.S. Patent and Trademark Office with experience preparing patents applications for web, enterprise and mobile applications, artificial intelligence, cloud computing, data security, virtual reality, wireless communication systems, robotics, semiconductor manufacturing, optics, or medical devices. You must be able to demonstrate an ability to work independently with limited supervision as well as in collaboration with other attorneys. A writing sample is required when applying.
