Martin H. Levenglick is a Partner in the Firm’s Corporate Practice Group. Martin has practiced in New York for more than thirty years as a business lawyer advising a broad array of clients across a wide variety of industries (including online, software, media, technology and bio-pharma). He is especially focused upon the representation of early stage and growth-oriented companies, entrepreneurs and investors in corporate, finance and transactional matters (including venture capital and M&A transactions) and general corporate counseling.

Martin guides entrepreneurs, management teams, boards of directors and investors throughout all phases of a company’s life-cycle (including periods of rapid expansion as well as periods of financial distress). He advises on business formation and capital raising activities (such as seed financings, bridge loans and convertible preferred stock financings), acquisitions, joint ventures, strategic alliances, corporate partnering transactions, critical business contracts, licensing arrangements, recapitalizations, restructurings, liquidity, change-in-control and exit transactions, and key personnel matters (including stock options plans and other incentive compensation arrangements). Martin also works closely with venture capital funds, corporate venture capital groups, strategic investors, micro-VC’s, angel and high net worth investors that finance, sponsor, acquire, and sell such companies, in all phases of the investment cycle.

Martin began his career at O’Sullivan Graev & Karabell LLP, a pre-eminent New York corporate and transactional boutique (now, O’Melveny & Myers), where he practiced for eighteen years following his graduation from law school and was elected partner within five years of his joining the firm. Thereafter, he practiced for ten years in the New York offices of two Bay Area firms; eight years as a partner in the New York office of the global law firm Orrick Herrington & Sutcliffe LLP and then as a partner in the New York office of Heller Ehrman LLP. He was most recently a corporate partner with Morrison Cohen LLP.
