Corporate Paralegal

VLP is looking for the right person to join our team as a corporate paralegal (at VLP we use the term Legal Specialist) who is skilled in private company matters in the emerging companies and venture capital arenas. The nature of our practice demands paralegals who are self-starters and willing to take on challenging legal responsibilities under the supervision of our attorneys.

The Legal Specialist will be working directly with Partners and Counsel in our Corporate Group to provide support and assist clients with a variety of corporate matters. This position is 25 – 35 hours per week. Compensation: $50-80/hour for billable time.

Responsibilities include but are not limited to:

  • Preparing and filing Certificates of Incorporation, state qualifications, and related documents.
  • Preparing documents which include drafting consents, filing amendments and preparing merger documents, annual reports, etc.
  • Preparing documents and spreadsheets for transactions such as financings, mergers and acquisitions and closing statements.
  • Preparing UCC searches and filings.
  • Organizing documents and closing volumes in connection with corporate transactions such as financings and mergers and acquisitions.
  • Conducting research on state and federal securities laws, and preparing Blue Sky filings.
  • Communicating regularly with VLP attorneys regarding the status of projects and deadlines.
  • Interacting with clients by telephone and by written correspondence.
  • Conducting due diligence on target companies and preparing disclosure schedules.
  • Assisting with other projects and duties as assigned.

Qualifications:

  • Bachelor’s degree or Paralegal Certificate.
  • Four or more years of paralegal experience in a law firm.
  • Experience working with start-ups/emerging growth companies preferred.
  • Excellent communication and prioritization skills.
  • Ability to work independently but also effectively as a part of a team.
  • Strong client service attitude.
  • Outstanding organizational skills, attention to detail and initiative.
  • Proficiency in Microsoft Word, Excel and Adobe Acrobat.
  • Management of data rooms on www.box.com and similar online services.
  • A thorough understanding of securities management under www.carta.com and similar online services.

Conflicts and Risk Management Analyst

VLP is looking for the right person to join our team as a Conflicts and Risk Management Analyst. This person is responsible for the identification, analysis, and resolution of conflict requests, using independent judgment and demonstrating a thorough understanding of the business needs and rules of professional conduct when clearing incoming work and candidates. This position reports directly to the firm’s General Counsel and is 20-25 hours a week. Pay range $33.00-$50.00, depending on years of experience and location.

Specific duties and responsibilities include, but are not limited to, the following:

Conflicts

  • Analyze and process all conflict requests to ensure that all firm engagements and hires are clear from a business and ethical perspective.
  • Prepare database search terms and create conflicts reports for related parties, for all requests including high volume, bulk searches.
  • Perform corporate research to confirm the identity of related parties and address any potential conflicts or high-profile issues.
  • Identify existing and potential conflicts for each request by reviewing and analyzing conflicts reports and supporting documents.
  • Understand and interpret database results and conflicts reports for firm partners, counsel, and legal specialists.
  • Prepare concise, comprehensive descriptions of the applicable conflicts landscape based on the rules of professional conduct.
  • Interact regularly with partners – through email and telephone to investigate and discuss potential issues and propose solutions in connection with conflict clearances.
  • Provide regular updates to responsible attorneys and other users in connection with conflicts clearances.
  • Maintain conflicts resolution notes and responses for each request.
  • Request waivers for all matters requiring consent and confirm that all conflicts have been resolved.
  • Draft conflict waivers as necessary.
  • Inform and advise firm attorneys and counsel of any special circumstances surrounding complicated requests.
  • Draft and implement necessary ethical screens.
  • Awareness of current legal trends and information.

Client Intake

  • Check client intake forms for completion. Make sure adverse parties are listed and request if information incomplete.
  • Work closely with our New Business Committee and notify them when review is completed.
  • Provide client intake training for new attorneys and legal specialists.
  • Work closely with Tech Support to resolve any issues and providing testing of the conflicts database and client intake program.
  • Review legal services agreements and ensure that there are no deviations from approved firm forms.

 Risk Management

  • Maintain filing of all Risk Management documents.
  • Assist with annual renewal of the firm’s malpractice insurance.
  • Keep updated file on claims and circumstances.
  • Monitor departed employee’s VLP email.
  • Perform regular checks of attorney Bar status.
  • Oversee and provide MCLE certifications.
  • Other research as requested.

Registrations

  • Handle all firm’s state, county and/or city registrations.
  • Research what is needed in different states as requested based on potential hires.
  • All other duties as assigned or required

Skills and experience:

Required:

  • 3+ years direct applicable experience in a law firm environment
  • Knowledge of the Rules of Professional Conduct
  • Overall understanding of a corporate law practice
  • Experience conducting legal and corporate research
  • Bachelor’s degree

Preferred:

  • JD preferred but not necessary
  • Prior experience in a law firm conflicts department
  • Knowledge of SurePoint and Sharepoint a plus
